1. Who we are; structural posture

The DueSouthDental directory service is operated by Grayscale Digital, LLC, a Michigan limited liability company (the "Provider", "we", "us", "our"). We operate the duesouthdental.com website, the patient-decision wizard, the clinic directory, and any related Provider-operated surfaces (collectively, the "Site").

1.1 Structural posture — load-bearing language (please read)

1. DueSouthDental facilitates information and clinic-listing services for U.S. patients researching cross-border dental implants in Tijuana and Los Algodones, Mexico. We are an editorial directory and patient-decision wizard.
2. We are not a healthcare provider, a medical professional, a medical advisor, or a medical referral service. We do not provide clinical care, diagnose patients, prescribe or recommend treatment, or charge per-patient referral fees of any kind.
3. We operate a facilitation and editorial directory service, not a medical advisory service. We do not have a physician-patient relationship with you or with any other site visitor.
4. Always seek the advice of a qualified physician or licensed dentist before selecting a treatment, a doctor, or a medical facility. The Site supplements, but does not replace, clinical consultation.

We do not employ dentists, oral surgeons, or any other licensed clinical staff. We are an editorial directory and decision-support platform that helps U.S. patients identify vetted dental clinics in Tijuana and Los Algodones, Mexico, that match the patient's stated preferences.

2. Medical Emergencies — Site is not for emergency use

The Site is not intended for use in the event of a medical emergency.

If you are experiencing a medical emergency, call 911 (or the equivalent emergency number in your country) or contact your healthcare provider immediately. Do not use the Site to seek emergency care, do not use the wizard to find an emergency dentist, and do not delay seeking emergency care to research clinics through the Site.

The Site is for non-emergency research and decision-support only. The clinics in the directory are international destinations that require travel; they are not appropriate for emergency care.

3. Acceptance and eligibility

3.1 By using the Site, you agree to these Terms

These Terms form a binding agreement between you and Provider. By accessing or using the Site — including by completing the wizard, sending an inquiry to a clinic, or browsing clinic profiles — you confirm that you have read, understood, and agreed to these Terms. You also agree to the Health Privacy & Confidentiality Statement, which is incorporated into these Terms by reference.

3.2 Eligibility

You may use the Site only if all of the following are true:

1. You are at least 18 years old. If you are under 18, do not use the wizard or send inquiries through the Site.
2. You have the legal capacity to enter a binding agreement under the law of your jurisdiction.
3. Your use of the Site does not violate any law applicable to you.
4. You are not on the U.S. Treasury Department's Office of Foreign Assets Control (OFAC) sanctions list or any other U.S. government list of persons prohibited from receiving exports of services.

3.3 Where you can use the Site

The Site is intended primarily for U.S. residents researching dental treatment in Mexico. The Site is operated from the United States. By accessing it, you consent to data processing in the United States. If you send an inquiry to a clinic, your contact information transfers to the clinic in Mexico (see Health Privacy & Confidentiality Statement).

4. What the Site IS, and what it IS NOT

4.1 What the Site IS

1. An editorial directory of vetted dental clinics in Tijuana and Los Algodones, Mexico.
2. A patient-decision wizard that captures your stated preferences and shows you clinics whose published profiles match those preferences.
3. A filter-and-compare tool, not a recommendation engine. The wizard's filter logic is deterministic and identical for every user. Clinics cannot pay for higher placement in the filter results.
4. An inquiry-delivery channel — when you choose to send your contact information to a clinic, we deliver it. The clinic then communicates with you directly outside the Site.
5. An editorial publisher of guides about cross-border dental travel.

4.2 What the Site IS NOT

1. The Site is not a healthcare provider. We do not provide dental care, dental advice, or any clinical service.
2. The Site is not a clinical advice service. Nothing on the Site is medical or dental advice.
3. The Site is not a medical referral service. The wizard's filter logic is determined entirely by your stated preferences and the clinic's published profile attributes — not by which clinic pays us.
4. The Site is not a guarantor. We do not guarantee that any specific clinic is "the best" or "right for you", any treatment outcome, any clinic's response time, or any clinic-provided pricing.
5. The Site is not a booking marketplace. We do not collect payment for clinical services on behalf of clinics.
6. The Site is not a Business Associate of any clinic under HIPAA. We do not collect, store, or transmit your Protected Health Information.
7. Provider is not a patient-brokering or anti-kickback regulated person. We operate as an editorial advertising-form directory with a performance-based marketing fee structure that is uniform across all listed clinics, publicly disclosed, paid from the clinic's marketing budget (does NOT increase your treatment cost), and structured to remain invariant to clinical outcomes at the qualification stage. 4.3 You are responsible for your treatment decisions

The wizard is a filter-and-compare tool that helps you narrow choices. It does not make the choice for you, and it does not replace clinical consultation. By using the Site, you acknowledge and agree that you are responsible for your own treatment decisions, you will independently verify any clinic's credentials, you will consult directly with the clinic before agreeing to any treatment, you will obtain a second opinion if you have any uncertainty, and you understand that the wizard's filter logic is general, not personalized to your specific clinical situation.

5. Your inquiries to clinics

5.1 What we deliver

We deliver to the clinic you choose: your name, email address, phone number (if provided), free-text message (if written), and a summary of your wizard responses so the clinic can prepare for the consultation.

5.2 What happens after delivery

After delivery, the clinic — not Provider — is responsible for communicating with you. Provider is not part of the communication chain. Once delivered, your inquiry data crosses the U.S.-Mexico border. After delivery, Mexican law applies to the clinic's handling.

5.3 You may withdraw an inquiry

You may withdraw an inquiry within twenty-four (24) hours of delivery by emailing [email protected]. We will notify the clinic that you withdrew the inquiry and request that the clinic delete your contact information.

5.4 You will not send inquiries you do not intend

Each inquiry should reflect a genuine intent to consider the clinic. We may suspend or terminate your access if we detect inauthentic inquiry patterns.

6. Cross-border medical travel risks — please read

Cross-border medical travel involves real risks that are different from receiving treatment in your home country. By using the Site to research or schedule treatment in Mexico, you acknowledge the following risks. We are not a travel-risk insurer or guarantor — these are your risks to evaluate and accept.

6.1 Clinical and treatment risks

• Clinical outcomes for any procedure, including dental implants, vary by patient.
• Mexican dental clinics are licensed and regulated by Mexican authorities (COFEPRIS and applicable state dental boards). Verification of credentials and quality is your responsibility.
• Post-treatment complications may require follow-up care that is logistically harder to obtain when the treating clinic is in another country. Plan for this.

6.2 Travel and logistics risks

• Land-border crossings can be subject to closure, restriction, or extended wait times.
• Travel insurance is recommended. Some U.S. health insurance policies do not cover treatment received outside the United States.
• Currency exchange and payment-processing differences mean clinic fees may be quoted in pesos or U.S. dollars; verify the currency and the conversion rate.
• Language barriers may exist at clinics that have not certified English fluency.

6.3 Provider's role in travel logistics

Provider may surface affiliate links to recovery hotels, airport transfer services, and similar travel-services partners. These are independent third-party services, not operated by Provider. We earn a commission on qualifying bookings per our Affiliate Disclosure. Provider does not bundle, coordinate, or guarantee travel logistics. Provider does not act as a travel agent or tour operator.

6.4 Cross-border force majeure

If a cross-border force-majeure event occurs (border closure, large-scale travel disruption, public-health restriction, etc.), Provider's obligations under these Terms are suspended for the duration of the event. Provider is not liable for any travel disruption, postponed treatment, or financial loss caused by such an event.

7. Acceptable use

You will use the Site only as intended. You will not:

1. Submit false, misleading, fraudulent, or impersonating contact information.
2. Send inquiries you do not intend.
3. Submit any Protected Health Information (PHI), patient X-rays, or clinical records through the Site.
4. Reverse engineer, decompile, scrape, or attempt to extract data from the Site through automated means.
5. Use bots, crawlers, scrapers, or any automated tool to access or interact with the Site, except for search-engine crawlers respecting our robots.txt.
6. Interfere with the operation of the Site, attempt to overload it, or attempt to access accounts or data not belonging to you.
7. Violate any law applicable to you in connection with your use of the Site.
8. Use the Site to develop a competing product or service.
9. Use the Site to defame, harass, or threaten any clinic, Provider personnel, or other Site user.
10. Attempt to influence wizard filter results through any means other than truthfully completing the wizard.
11. Resell, redistribute, or otherwise commercialize Site content without our prior written consent.

8. Intellectual property

8.1 Our content

The Site, including the wizard, the filter-matching algorithm, the directory listings, the editorial content, the design, the brand, and any Provider-created software, are owned by Provider and protected by intellectual property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for the personal, non-commercial purpose of researching cross-border dental care.

8.2 Your inquiry content

Your inquiry message, your wizard responses, and any other content you submit to the Site ("Your Content") remain owned by you. By submitting Your Content, you grant Provider a non-exclusive, royalty-free, worldwide license to use Your Content as reasonably necessary to operate the Site, deliver your inquiry, and maintain anonymized aggregate analytics. We do not sell, license, or trade Your Content to third parties.

8.3 Clinic content

Clinic profiles, photos, FAQs, and other content provided by clinics ("Clinic Content") are owned by the respective clinics. You may view Clinic Content on the Site for personal research purposes; you may not copy, redistribute, or commercialize Clinic Content without the clinic's consent.

8.4 DMCA / copyright takedown

If you believe content on the Site infringes your copyright, send a notice to [email protected] including the information required by 17 U.S.C. § 512(c)(3).

9. Affiliate links and sponsored placement

The Site contains affiliate links and may contain sponsored-placement listings. Our Affiliate Disclosure describes both sets of commercial relationships in detail. Briefly:

• We earn a performance-based marketing fee from listed clinics, uniform across all listed clinics, when an inquiry you choose to send results in a discovery call and (separately) when treatment is completed.
• We earn commissions on bookings made through hotel, transportation, and travel-services partner links. We disclose these relationships clearly and proximate to each recommendation.
• Sponsored placements appear in clearly labeled separate slots and do not influence filter-match results. Sponsored-placement clinics pay the same uniform fees as non-sponsored clinics on the paid tier.
• We do not accept payment to include or favor any clinic in our editorial content.

10. Disclaimers

THE SITE AND ALL ASSOCIATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROVIDER DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE SECURE, ERROR-FREE, UNINTERRUPTED, OR CONTINUOUSLY AVAILABLE;
• WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CLINIC PROFILE, PRICING INFORMATION, OR THIRD-PARTY CONTENT;
• WARRANTIES ABOUT THE QUALITY OF ANY CLINIC, ANY TREATMENT RESULT, OR ANY PATIENT EXPERIENCE; AND
• WARRANTIES ABOUT THE LEGAL, REGULATORY, OR PROFESSIONAL STATUS OF ANY CLINIC AT ANY POINT IN TIME.

YOU USE THE SITE AT YOUR OWN RISK. THESE DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Limitation of liability

11.1 General Liability Cap

EACH PARTY'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). The Site is provided to you free of charge; the General Liability Cap reflects the absence of fees in the Provider-patient relationship.

11.2 Damages Waiver

EXCEPT FOR (i) PROVIDER'S BREACH OF THE HEALTH PRIVACY & CONFIDENTIALITY STATEMENT, (ii) PROVIDER'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR (iii) ANY LIABILITY THAT CANNOT BE WAIVED OR LIMITED UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL PROVIDER BE LIABLE FOR LOST PROFITS, LOST REVENUES, LOST BUSINESS, LOST DATA, CONSEQUENTIAL OR INDIRECT DAMAGES, TREATMENT OUTCOMES, COMPLICATIONS, MALPRACTICE CLAIMS, OR TRAVEL-RELATED LOSSES.

11.3 Allocation of clinical-care risk

Any claim relating to dental treatment you receive from a clinic you found through the Site lies between you and the clinic, not between you and Provider. The clinic is solely responsible for clinical care delivered to you. Provider is not the clinic's employer, agent, partner, joint venturer, or business associate.

12. Indemnification

You will indemnify, defend, and hold harmless Provider and Provider's officers, directors, employees, and agents against any third-party claims, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site in violation of these Terms, any false content you submit, your actions involving any clinic you found through the Site (e.g., a billing dispute, a clinical-malpractice claim against a clinic), or your violation of any applicable law.

13. Termination

You may stop using the Site at any time. We may suspend or terminate your access to the Site, with or without notice, if we determine in our reasonable discretion that you have violated these Terms, your use creates a security risk or material legal exposure to Provider, or we are required to terminate your access by court order or government action. Sections that by their nature should survive termination — including §1, §2, §4, §6, §8, §10, §11, §12, §14–§17, and the Health Privacy & Confidentiality Statement — survive termination.

14. Modifications

We may modify, suspend, or discontinue any part of the Site at any time, with or without notice. We may modify these Terms by publishing an updated version at this URL. Material amendments will be notified to you by a prominent notice on the Site at least thirty (30) days before the change takes effect, and (if you have an account or have sent an inquiry) by email. Continued use after the effective date constitutes acceptance.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved in the state and federal courts located in Wayne County, Michigan. Each party waives the right to participate in a class action or class arbitration. Any claim or cause of action arising out of these Terms must be filed within one (1) year after the claim or cause of action accrues, or be permanently barred.

16. General provisions

These Terms, together with the Health Privacy & Confidentiality Statement and the Affiliate Disclosure, are the entire agreement between you and Provider. If any provision is found unenforceable, the remaining provisions continue in effect. Provider's failure to enforce any provision is not a waiver. You may not assign these Terms without Provider's prior written consent. You and Provider are independent contractors; nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
